End‑User License Agreement (EULA)

Homebox QuickBooks Connector

Effective date: 8/9/2025

This End‑User License Agreement (“EULA”) is a legal agreement between HomeBx LLC d/b/a Homebox (“Homebox,” “we,” or “us”) and the entity or person that accesses or uses the Homebox QuickBooks Connector (the “App”) (“you”).

  1. License. Homebox grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the App for your internal business purposes, solely as authorized by this EULA.

  2. Account connection. The App connects to QuickBooks Online using OAuth 2.0. You authorize the App to access your QuickBooks company and data that you approve during consent. You may revoke access at any time as described in the Disconnect section linked from our site.

  3. Restrictions. You will not sublicense, rent, sell, time‑share, reverse engineer, attempt to derive source code, or use the App to build a competing product. You will not use the App in violation of law.

  4. Ownership. The App is licensed, not sold. Homebox and its licensors retain all right, title, and interest in and to the App and all related intellectual property. You retain all right, title, and interest in your data.

  5. Privacy and data use. Homebox processes personal and accounting data as described in the Homebox Privacy Policy and its QuickBooks Online Addendum. Those documents are incorporated by reference.

  6. Changes and availability. We may modify or discontinue the App or any feature. We do not guarantee uptime.

  7. Support. Contact hello@livehomebox.com for support.

  8. Term and termination. This EULA remains effective until terminated. We may suspend or terminate your access for violation of this EULA or to protect the service. Upon termination you will stop using the App. We may revoke tokens with Intuit.

  9. Disclaimer. The App is provided “as is” and “as available.” To the maximum extent permitted by law, Homebox disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non‑infringement, accuracy, and quiet enjoyment.

  10. Limitation of liability. To the maximum extent permitted by law, Homebox will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Homebox’s aggregate liability for all claims will not exceed the lesser of your actual direct damages or USD 1,000.

  11. Indemnity. You will defend, indemnify, and hold harmless Homebox from and against claims arising from your use of the App or violation of this EULA.

  12. Export. You will comply with all export and sanctions laws.

  13. Governing law and arbitration. This EULA is governed by the laws of the Commonwealth of Virginia. Any dispute will be resolved by binding arbitration under the Commercial Rules of the AAA in Alexandria, Virginia. No class arbitration.

  14. Miscellaneous. This is the entire agreement on its subject. If any provision is unenforceable, the remainder stays in effect. No waiver is effective unless in writing signed by Homebox.
